These Terms govern your access to and use of Vault, the internal representative portal operated by Empire Builders. By logging in, you agree to these Terms.
Vault is an internal business platform operated by Empire Builders to support its licensed and pre-licensed financial professionals. It is not a consumer product, not available to the general public, and not a place to transact business with clients directly. All representatives who use Vault do so under an agreement governing their affiliation with Empire Builders.
Access is granted by invitation only, subject to approval by Empire Builders leadership. You must:
Empire Builders may revoke access at any time, with or without notice, for any reason including termination of your agreement with Empire Builders, violation of these Terms, or concerns about misconduct.
You are responsible for:
You may not share your account with anyone, ever. Not a spouse, not a business partner, not an assistant. Each user must have their own invite.
You agree NOT to:
Client information (such as prospect and client lists, contacts, and notes) and internal team and business information are confidential and proprietary to Empire Builders.
You may access, enter, and share this information ONLY for the purpose of providing licensed financial services on behalf of Empire Builders. Unauthorized access, disclosure, or use, including recruitment efforts away from Empire Builders, is a material breach of these Terms and your agreement with Empire Builders, and may result in immediate account termination and civil or criminal liability.
If you leave Empire Builders for any reason, all access to Vault will be revoked. Any client or team data you retain outside the platform remains the property of Empire Builders.
All content on the platform — including scripts, presentations, trainings, training frameworks, recruiting materials, and the software itself — is the property of Empire Builders or its respective licensors. You are granted a non-transferable, revocable license to use this content solely in connection with your work as a representative.
You retain ownership of the personal information you submit about yourself (name, photo, bio, etc.) but grant Empire Builders a license to display it within the platform to support collaboration and coaching.
Vault is a tool, not a substitute for your professional judgment. You are responsible for:
Vault relies on third-party service providers for hosting, data storage, email delivery, internal approval workflow, and electronic application systems. Your use of these integrations is also governed by the respective third parties' terms. Empire Builders is not responsible for outages or issues caused by those services.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. EMPIRE BUILDERS INSURANCE AGENCY DOES NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE AT ALL TIMES. WE MAKE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR SUITABILITY OF ANY CONTENT, SCRIPTS, OR TOOLS PROVIDED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMPIRE BUILDERS INSURANCE AGENCY, ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
Nothing in these Terms limits liability for gross negligence, willful misconduct, or any obligation that cannot be excluded by law.
You agree to indemnify and hold harmless Empire Builders and its owners, officers, and employees from any claim, loss, damage, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the platform, or your violation of any applicable regulation or third-party right.
We may update these Terms from time to time. Material changes will be announced inside the platform. Continued use after changes take effect means you accept the updated Terms.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
Except as noted below, any dispute, claim, or controversy arising out of or relating to these Terms, your application, your agreement with Empire Builders, your affiliation with Empire Builders, or your use of the platform, will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator, seated in Miami-Dade County, Florida. The parties will first attempt to resolve the dispute through good-faith negotiation and then non-binding mediation. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver.All claims must be brought in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a class or representative proceeding. You and Empire Builders each waive any right to a jury trial and to participate in a class or collective action.
Exceptions.Either party may (a) seek emergency or injunctive relief in the state or federal courts located in Miami-Dade County, Florida to protect confidential information or intellectual property, and (b) bring an individual claim in small-claims court. The prevailing party in any arbitration or permitted court action may recover reasonable attorneys' fees and costs to the extent allowed by law. If any portion of this class action waiver is found unenforceable, that portion is severable and the remainder of this section stays in effect.
If you affiliate with Empire Builders as a representative, you do so as an independent contractor, not an employee. You control your own schedule, methods, and business expenses. Nothing on the platform creates an employment, partnership, joint-venture, or franchise relationship. You are responsible for your own taxes, licensing, and business costs.
No income guarantee. Any figures, examples, rank illustrations, or commission structures shown on the platform or in training are for illustration only. They are not a promise or guarantee of income. Your results depend on your own effort, skill, licensing, market conditions, and the time you invest. Many representatives earn little or no commission, and some incur expenses that exceed their earnings. Compensation is paid solely under the terms of your written agreement with Empire Builders and the applicable carriers, and is subject to chargeback, advance, and clawback provisions in those agreements.
As part of the application and appointment process, Empire Builders and the insurance carriers it works with may obtain background information about you, including a consumer report or investigative consumer report (as those terms are defined under the federal Fair Credit Reporting Act, or "FCRA"). This may include your criminal history, licensing and regulatory history, employment and industry history, and reports from insurance-industry databases such as Vector One and similar carrier debt or conduct databases.
By submitting your application, you acknowledge that you have been informed that such reports may be obtained and used to evaluate your application, appointment, and continued affiliation. Where required by law, you will be provided with a separate, standalone FCRA disclosure and asked to sign a separate written authorization before a consumer report is obtained. You have the right to request whether a consumer report was obtained and to receive information about the reporting agency. If any decision is based in whole or in part on such a report, you will receive the notices the FCRA requires, including a copy of the report and a summary of your rights.
Vector One acknowledgment. Empire Builders participates in Vector One, an insurance-industry database that records outstanding commission debit balances (agent debt) owed to carriers. You acknowledge that your application answers regarding carrier debt may be verified against Vector One and that an unresolved balance may affect your eligibility for appointment with one or more carriers.
You consent to conduct this application and your relationship with Empire Builders electronically. Under the federal E-SIGN Act and applicable state law, your electronic signature — whether drawn, typed, or otherwise adopted — and your click of an "I agree" or equivalent control have the same legal effect as a handwritten signature. You agree that agreements, disclosures, notices, and records may be provided to you electronically, and that electronic copies satisfy any requirement that such records be in writing.
To access and keep electronic records you need a device with a modern web browser, internet access, an email account, and the ability to view and save PDF files. You may request a paper copy of any record, or withdraw your consent to electronic records, by emailing us at tech@wealtharmor.com; withdrawing consent may prevent you from completing an application or using the platform.
By providing your phone number, you agree that Empire Builders and its representatives may call and text you at that number about your application, onboarding, and affiliation, including through automated means, and that these communications may relate to time-sensitive steps in your onboarding. Message and data rates may apply. Consent to marketing texts is not a condition of applying. You may opt out of text messages at any time by replying STOP, and opt out of calls by telling us; we will honor applicable Do-Not-Call and TCPA requirements.
Empire Builders is committed to making Vault usable by everyone, including people with disabilities. We aim to conform to the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA, and we build with keyboard operability, screen-reader labeling, sufficient color contrast, and accessible alternatives in mind, including a typed alternative to the drawn signature. Accessibility is an ongoing effort and some areas may not yet fully conform.
